Finley App Terms and Conditions.

Version 1.1 (draft) · Pioneer Finance Limited · FSP2861. Applies to the Finley mobile application, the Finley card, and the Finley account portal.

Who you're dealing with
Finley is a product of Pioneer Finance Limited, a licensed consumer credit provider and registered financial service provider (FSP2861), 106/100 Parnell Road, Parnell, Auckland 1052.
Who can use it
You must be 18 or over, a New Zealand resident with a New Zealand address, bank account and mobile number, and pass our identity checks.
What the app does
Finley lets you apply for and manage credit, choose how a purchase is paid, spend with your Finley card, transfer money, and make repayments.
Credit is a separate agreement
Opening the app does not give you credit. Any credit is governed by a separate credit contract and disclosure statement you receive before you draw down.
Costs
No annual fee for the app or card. Interest, late fees and other charges apply to credit products and are set out in your credit contract and the Finley Fee Schedule — see Terms & fees.
Your bank data
If you connect your bank accounts, you consent to us accessing read-only transaction data to assess affordability and manage your account. You can withdraw consent at any time.
Your face and fingerprint
If you use face or fingerprint verification, we explain what we collect, why, how long we keep it, and what you can use instead. You can always choose a non-biometric alternative.
Automated decisions
We use automated systems, including AI, to assess applications. You can always ask for a human to review a decision.
Keeping it secure
Keep your passcode, biometrics and device secure. Tell us immediately if your card or device is lost, stolen or compromised.
If something goes wrong
Tell us first — we acknowledge within 2 business days. If we can't resolve it, you can escalate free of charge to FSCL, our external dispute resolution scheme.
Struggling to repay
Contact us. You may be entitled to apply for a hardship variation under the CCCFA, and we will work with you.

1. About these Terms

These Finley App Terms and Conditions ("Terms") govern your access to and use of the Finley mobile application, the Finley account portal, the Finley card, and any related features, content and services we make available (together, "Finley" or the "Service").

Finley is provided by Pioneer Finance Limited, NZBN [to be confirmed], a registered financial service provider (FSP2861) and licensed consumer credit provider, of 106/100 Parnell Road, Parnell, Auckland 1052 ("Pioneer", "we", "us", "our").

By tapping "I agree", creating a Finley account, or using any part of the Service, you agree to these Terms. If you do not agree, do not use Finley.

Pioneer's website terms govern your use of pioneerfinance.co.nz. These Terms govern the Finley app, portal and card, and prevail for anything you do through Finley where both could apply.

2. Eligibility and registration

To register you must be at least 18 years old; be a New Zealand citizen, permanent resident, or hold a visa permitting you to reside in New Zealand for the term of any credit you take; have a current New Zealand residential address, an active New Zealand mobile number, and a New Zealand bank account in your own name; be registering for your own personal use; and provide accurate, current and complete information.

Before we open your account we are required by the Anti-Money Laundering and Countering Financing of Terrorism Act 2009 to verify your identity and address, which may include an identity document image and a liveness or facial verification check. Clause 8 explains how we handle biometric information and what alternatives are available.

We carry out ongoing customer due diligence, sanctions screening and transaction monitoring for the life of your account. We may decline any application at our discretion. One person may hold one Finley account, and accounts cannot be transferred, shared or assigned.

3. What these Terms cover — and what they don't

These Terms govern your use of the Finley app, portal and card. They are not a credit contract and do not give you credit.

If you are approved for a credit product, that credit is governed by separate documents provided before you first draw down, which prevail over these Terms to the extent of any inconsistency: the Finley Master Customer Agreement (the credit contract terms), your Initial Disclosure Statement (credit limit, interest rate, interest-free period, fees and your rights, as required by the CCCFA), the Finley Fee Schedule, the Finley Card Conditions of Use, and the Pioneer Privacy Policy.

Nothing in these Terms reduces any right you have that cannot be excluded under New Zealand law, including under the Credit Contracts and Consumer Finance Act 2003 (CCCFA), the Financial Markets Conduct Act 2013, the Fair Trading Act 1986, the Consumer Guarantees Act 1993, or the Privacy Act 2020.

4. Your Finley account and credit products

You can apply for credit through the app. We assess every application against our responsible lending obligations under the CCCFA, including suitability and whether you can afford to repay without substantial hardship. Being able to open the app or complete an application does not mean you will be approved, and any credit limit shown before approval is indicative only.

Finley launches with Revolving Credit — a revolving facility with an interest-free period on eligible purchases, after which interest accrues. We may make further credit products available over time; this clause will be updated to describe each as it launches.

The rate, interest-free period, minimum and maximum amounts and repayment schedule for each product are set out in your disclosure documents and shown in the app before you confirm — the app always displays the total cost in dollars first.

We may reduce or suspend your available credit where we reasonably consider it necessary — including a change in your circumstances or a risk of default — and will tell you when we do and why. Credit is for personal, domestic or household purposes only.

5. Repayments

You must make at least the minimum repayment shown on each statement by the due date, as set out in your credit contract.

If you authorise a direct debit or automatic payment, you must ensure sufficient funds are available. You can repay all or part of what you owe early at any time; any prepayment fee will be disclosed and calculated in accordance with the CCCFA.

If you miss a payment, default interest and fees may apply, we may report the default to a credit reporting agency, and we may commence collection activity.

If unforeseen hardship means you cannot meet your repayments, contact us as soon as possible — you may have a right to apply for a hardship variation under the CCCFA, and applying does not affect your right to also make a complaint.

6. The Finley card and payments

If approved, we will issue you a Finley card — virtual, physical, or both — which remains our property (or the card issuer's) and must be returned or destroyed on request.

You authorise a transaction when you tap, insert or swipe your card, enter your PIN or card details, authenticate with a passcode or biometric, or confirm a payment in the app. Once authorised, a transaction generally cannot be stopped.

If you use the app to transfer money to a New Zealand bank account, you are responsible for entering the correct account number or mobile number — a payment to an incorrect account may not be recoverable, though we will use reasonable efforts to help you recover it.

Foreign-currency transactions are converted at the card scheme's rate, and a foreign currency conversion fee may apply — see Terms & fees. If you have a problem with something you bought, contact the merchant first; a refund is credited to your account when we receive it but does not reduce your repayment obligation in the meantime. You may be able to dispute a transaction through the card scheme chargeback process — contact us as soon as you become aware of an issue, as chargeback rights are subject to strict time limits [window to be confirmed against Mastercard scheme rules].

7. Connecting your bank accounts (open banking)

Finley lets you securely connect your bank accounts so we can access read-only transaction data, to assess whether credit is suitable and affordable, verify your income and identity, manage payments you authorise, and provide account insights.

You choose whether to connect an account, and consent is specific and time-limited — we ask again when it expires. You can disconnect an account or withdraw consent at any time in the app, though this may limit your use of some features, including being assessed for further credit.

You never share your internet banking password with us. Where a connection method requires credentials, you enter them with your bank or an accredited provider, not with Pioneer, and we do not store them. Where data is shared or a payment initiated under the Customer and Product Data Act 2025, that access happens under the accreditation and standards that apply to it. Not every bank is covered by the regulated open banking regime yet — where yours isn't, we'll tell you which lawful method we're using before you consent.

8. Face, fingerprint and other biometric information

We use biometric processing in two distinct ways. Identity verification by us is a facial image and liveness check compared against your identity document, to confirm you are who you say you are — this is subject to the Biometric Processing Privacy Code 2025. Device unlock by you (Face ID, Touch ID or the Android equivalent) is performed entirely on your device; we receive only a yes-or-no confirmation, never the biometric itself.

Before we collect biometric information for identity verification, we tell you what we are collecting and why, how long we keep it, who processes it and where, that you can access and correct it, and what alternative is available. There is always a non-biometric alternative for identity verification, and you will not be refused an account solely for declining it.

We use biometric information only to verify identity and prevent fraud — never to infer age, gender, ethnicity, emotional state or health, and never for marketing or profiling. We destroy it once it is no longer needed for that purpose, subject to any legal retention requirement.

9. Automated decision-making

We use automated systems, including machine learning and AI models, to assess applications, verify identity, categorise transactions, calculate affordability, detect fraud, and set and review credit limits. These models are governed, monitored for accuracy and fairness, and subject to human review.

If an automated decision affects you — a declined application, a reduced limit, a blocked transaction — you can ask us to have a person review it. Using automated decisioning never reduces our responsible lending obligations; we remain responsible for every lending decision, however it was reached.

10. Rewards, cashback and promotions

We may offer rewards, cashback, promotional rates or merchant-funded offers, with additional terms published alongside the offer. Rewards are earned on eligible transactions only — not cash advances, transfers, fees, interest, or reversed transactions — have no cash value except as we specify, and are forfeited if your account is closed, suspended for misuse, or in default.

Offers from merchants in the app are provided by those merchants, not by us, and we are not the supplier of the goods or services they relate to. All promotional material we publish must be clear, concise and not misleading — if you think something we've said is misleading, tell us, and you can also raise it with the Financial Markets Authority.

11. Keeping your account secure

You must keep your passcode, PIN and security codes secret; only register your own biometrics on a device you use for Finley; keep your device secured and its operating system current, and not use Finley on a jailbroken, rooted or otherwise modified device; not let anyone else use your account; and keep your contact details current.

Tell us immediately if your card or device is lost or stolen, or you notice a transaction you didn't authorise — you can freeze your card instantly in the app. We will never ask you for your password, PIN, one-time code or internet banking credentials by phone, text, email or in the app; if someone does, it's a scam.

12. Unauthorised transactions

Tell us as soon as you become aware of a transaction you didn't authorise. Where it was genuinely unauthorised and you complied with clause 11, we will reimburse you. You may be liable for losses where you acted fraudulently, deliberately or recklessly disclosed your security details, let someone else use your card or device, or unreasonably delayed telling us. You are not liable for losses caused by our fault, a system fault you didn't contribute to, or occurring after you told us of the problem.

13. Communications and electronic disclosure

You consent to receiving communications and disclosure electronically, including CCCFA disclosure statements, by in-app message, push notification, email or SMS — the CCCFA expressly permits this where you've consented. Where we make disclosure by placing a document in the app, we'll also notify you that it's there and that it's a legal disclosure document.

You can withdraw consent to electronic disclosure at any time and we'll send required documents by post instead. You can turn off marketing messages at any time, but not service, security, statement and legal notices while you hold an account.

14. Availability, changes and support

We aim to keep Finley available at all times but do not guarantee uninterrupted access. If an outage we are responsible for causes you to miss a payment, we will not charge you a default fee or report a default for that payment. We may add, change, suspend or remove features, and will give reasonable notice of a change that materially reduces a benefit you rely on.

You are responsible for your device and your internet or mobile data connection. Finley is intended for use in New Zealand — some features may not work overseas.

15. Acceptable use

You must not use Finley for any unlawful purpose or in connection with fraud, money laundering or sanctions evasion; give us false or misleading information; use Finley on behalf of someone else or let someone else use your account; attempt to reverse engineer, scrape or disrupt Finley; introduce malware or circumvent security; or use Finley in a way that damages our reputation or that of our partners. We may report suspected criminal activity to the Police, the Financial Intelligence Unit or other authorities.

16. Suspending, restricting and closing your account

We may suspend or restrict your access, freeze your card, or block a transaction where we reasonably believe there is a security risk or suspected fraud, you've breached these Terms or your credit contract, we're required to by law or a court order, or continuing would expose us or you to unacceptable risk. We'll tell you when we do this and why, as soon as we reasonably can.

You can close your account at any time after repaying everything you owe. We may close your account on 30 days' notice, or immediately in the circumstances above — closure doesn't affect your obligation to repay what you owe.

17. Intellectual property

Finley — the app, name, logo, brand assets, software, designs and content — is owned by Pioneer or our licensors. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the app on a device you own or control, solely to access your own account. Your use of the app is also subject to the Apple App Store or Google Play Store terms, and those store operators are not parties to these Terms.

18. Privacy

We collect, use, store and disclose your personal information in accordance with the Privacy Act 2020, the Biometric Processing Privacy Code 2025, and the Pioneer Privacy Policy, which forms part of your agreement with us. We collect information you give us, information from your connected bank accounts, transaction and device data, and information from credit reporting agencies, identity verification providers and merchants.

Where we collect personal information about you from someone other than you — a credit reporting agency, your bank, a merchant — we take reasonable steps to make you aware of that collection, what we collected and why, at the point it happens. We may share information about your account, including repayment history and defaults, with credit reporting agencies. You can ask for a copy of what we hold about you and ask us to correct it.

19. Complaints and dispute resolution

If something has gone wrong, tell us first — in the app under Help › Make a complaint, by phone on 0800 000 724, by email, or by post to the Complaints Officer, Pioneer Finance Limited, PO Box 37084, Parnell, Auckland 1052.

We acknowledge a complaint within 2 business days and aim to resolve it within 10 business days (complex matters may take up to 20). If you're not satisfied, you can ask for it to be escalated internally or refer it free of charge to Financial Services Complaints Limited (FSCL) — PO Box 5967, Wellington 6140, 0800 347 257, fscl.org.nz — our approved external dispute resolution scheme. You can also contact the Financial Markets Authority, which has regulated consumer credit under the CCCFA since 1 July 2026, or the Office of the Privacy Commissioner on privacy matters.

20. Changes to these Terms

We may change these Terms over time — for example for new features or changes in law. We'll give you notice of any change that materially affects you [notice period to be confirmed] by in-app message, email or push notification; minor changes that don't disadvantage you may take effect immediately. If you don't accept a change you may close your account before it takes effect, without charge. Changes to your credit contract's interest rate, fees or other terms are governed by that contract and the CCCFA, not by this clause.

21. Liability

Nothing in these Terms limits or excludes your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where they cannot lawfully be contracted out of, your rights under the CCCFA, the Financial Markets Conduct Act 2013 or the Privacy Act 2020, or our liability for fraud or for death or personal injury caused by our negligence.

Subject to that, we are not liable for loss caused by a merchant, your bank, a card scheme or another third party; an event outside our reasonable control; your breach of these Terms; or indirect or consequential loss. Our total liability to you for all claims in any 12-month period is limited to [amount to be confirmed].

22. General

These Terms are governed by New Zealand law. We may transfer or assign our rights and obligations — including as part of a sale of our business — without your consent, provided your rights aren't materially prejudiced; you may not transfer yours. If part of these Terms is unenforceable, the rest continues to apply. These Terms, with the documents listed in clause 3, form the entire agreement between you and us about your use of Finley.
